MSDL (Morgan Stanley Direct Lending Fund) Lowers Adviser Fees as Net Asset Value Falls

On November 5, Morgan Stanley Direct Lending Fund announced that it would lower the fees it pays its investment adviser starting January 1, 2027. The change comes as the fund reported $0.48 per share in third-quarter net investment income, up from $0.45 in June, while net asset value fell from $19.50 to $18.76 per share.
The annual base management fee falls from 1.00% to 0.75%, and the incentive fee on income and capital gains falls from 17.5% to 15.0%. Lower fees leave more of the loan portfolio’s income available to shareholders, all else equal. That matters because third-quarter investment income weakened as some borrowers stopped generating recognized interest and the fund earned less one-time revenue. A decline in expenses, driven primarily by lower incentive fees under the existing arrangement, more than offset that drop.
The fund declared a $0.45 regular fourth-quarter dividend and a separate $0.015 supplemental distribution. September-quarter net investment income was above both amounts combined, but the decline in net asset value shows how loan losses and falling valuations can erode shareholder capital even when investment income supports the payout.
We think the fee reduction makes the regular dividend easier to earn. The stronger signal will be steady interest income from performing borrowers, because lower fees can improve the margin without repairing loans that have stopped paying.
