IIPR (Innovative Industrial Properties, Inc.) Raises Series B Preferred Share Limit

Innovative Industrial Properties disclosed on November 6, 2026 that it had increased the number of Series B preferred shares it can issue from 2.3 million to 18.4 million. The charter amendment was filed in Maryland on November 2 and adds 16.1 million shares to the authorization. The filing reports a higher limit and gives no terms for a new sale.

The Series B preferred stock carries a 9.25% dividend rate. IIPR priced its October offering at $25 per share, so that rate represented about $2.31 in annual preferred dividends for each share sold. Preferred dividends have priority over common dividends, which makes the use of any future proceeds important. If the company sells more shares, the new capital could help fund properties or refinance other obligations, while the additional preferred payments would come ahead of the common dividend.

We see this as more room to raise capital. For common shareholders, the test is whether any sale generates enough additional income or saves enough in financing costs to cover the new preferred payments and leave more for the common dividend. The authorization alone leaves that question open.
