TPVG (TriplePoint Venture Growth BDC Corp.) Earnings Fall Below Regular Distribution

TriplePoint Venture Growth BDC Corp. reported on November 4, 2026 that third-quarter net investment income fell to $0.16 per share from $0.26 a year earlier. That was below the $0.23 regular quarterly distribution, even before supplemental payments, leaving a clear gap between current earning power and the cash being distributed.

TPVG lends to companies backed by venture capital investors. Interest from those loans supplies income, while borrowing costs, management expenses and borrower losses reduce what remains for shareholders. Third-quarter investment and other income fell to $20.2 million from $22.7 million a year earlier, partly because loan yields declined. Higher interest expense added pressure, so the earnings weakness was more than a change in investment valuations.

The adviser has extended its waiver of the quarterly income incentive fee through the end of 2027. That is useful cost relief, although there were already no income incentive fees in the third quarter of 2026. The extension therefore preserves support rather than creating an immediate earnings increase from this quarter’s starting point.

There are signs that lending activity could improve. TPVG funded only $0.7 million of debt investments during the quarter, then funded $57.4 million in new investments after September 30. Those later investments could contribute interest income, but their effect on earnings after financing costs remains to be demonstrated. Capital raised by portfolio companies belongs to those businesses and should not be confused with income available to TPVG shareholders.

Credit performance also needs a balanced reading. The company’s average investment risk rating improved modestly from 2.28 to 2.24, where a lower number is better. Within that average, one borrower was upgraded and two were downgraded. Net asset value stood at $8.32 per share on September 30, compared with $8.73 at December 31, 2025.

The regular fourth-quarter distribution remains $0.23 per share, as announced on October 14, payable December 30, 2026. A previously declared $0.06 supplemental payment is also scheduled for that date. During the third quarter, TPVG declared $0.12 in supplemental distributions, split between September and December payments. The company estimated $0.90 per share of undistributed taxable earnings at September 30, but that accumulated amount is different from new quarterly earning power.

Our view is that the distribution needs a meaningful earnings recovery. The fee waiver and new investments give TPVG practical ways to improve income, yet neither erases the reported shortfall. The next persuasive result would be higher net investment income per share after borrowing costs, supported by borrowers continuing to pay, rather than relying on accumulated taxable earnings to explain today’s payments.
