RSF (RiverNorth Capital and Income Fund, Inc.) Repurchase Accepts About 14% of Shares Submitted

RiverNorth Capital and Income Fund announced on October 8, 2026 that shareholders offered back far more shares than its quarterly repurchase could accept. The fund repurchased 173,168 shares at $14.82 each, against requests covering 1,202,757 shares.

The offer covered up to 5% of outstanding common shares and expired on October 7. The purchase price matched that day’s net asset value, the value of assets after liabilities, divided by the number of shares.

The fund accepted approximately 14.4% of the shares submitted, calculated as 173,168 divided by 1,202,757. Purchases are allocated proportionally, with fractional shares disregarded. Shareholders seeking to sell through this offer should therefore expect only part of their request to be filled.

This is a useful reminder that a repurchase at asset value has a limited capacity. It provides a way to turn some shares into cash, but it cannot satisfy every request when demand exceeds the offer.

The result does not establish stronger dividend support or explain why shareholders tendered. RSF’s ongoing payments depend on what its investments earn after financing and operating costs. Buying shares at asset value is a capital transaction, rather than new investment income.

We would watch the next repurchase terms and the fund’s earnings reports. The immediate finding is clear: this offer provided an exit for a relatively small part of the shares submitted.
