RIV (RiverNorth Opportunities Fund, Inc.) Issues $75 Million of 6.476% Preferred Shares

RiverNorth Opportunities Fund closed a private offering of ﹩75 million of Series B mandatory redeemable preferred shares on September 18, 2026.

The fund issued 3 million preferred shares with a ﹩25 liquidation preference, a 6.476% annual cumulative dividend paid monthly and a mandatory redemption date of September 18, 2031. Moody’s Ratings assigned an A1 rating. RiverNorth said the proceeds will primarily refinance existing debt and fund new portfolio investments.

Why it matters

The financing gives RIV additional capital and a fixed five-year funding horizon. It also adds a senior claim ahead of common shareholders for dividends and liquidation. At the stated rate, the preferred shares represent about ﹩4.86 million of annual preferred-dividend cost before any adjustments.

That cost is not an earnings figure. The effect on common-share distribution support will depend on how much existing debt is retired, the cost of that debt and the returns earned on new investments. The filing does not quantify the final allocation between refinancing and investment.

Shareholders should watch RIV’s post-transaction leverage, asset coverage and net investment results. The preferred financing can help if the assets it supports earn more than its full cost, while weak investment returns would make the senior payment obligation more burdensome.
