PSEC (Prospect Capital Corporation) Prices $300 Million of 8.95% Notes for Refinancing

Prospect Capital Corporation has priced $300 million of senior unsecured notes carrying an 8.95% annual interest rate, with the offering expected to close on November 5, 2026. The October 29 announcement provides a route to refinance debt, but at a substantially higher coupon than the 2026 notes identified among the uses of proceeds.
The new notes mature on October 31, 2031. Prospect expects to use the proceeds mainly to repay existing borrowing, including its 3.364% notes due in 2026 and/or its revolving credit facility. The prospectus estimates $283.4 million of net proceeds after approximately $16.6 million of offering expenses. These are expected amounts, and the closing remains subject to customary conditions.
Extending debt maturities is useful because it gives a lender more time to earn income from its investments. The cost matters just as much, though. An 8.95% coupon means a larger annual interest bill on each dollar of this debt than the 3.364% coupon on the specified maturing notes. The actual change in total interest expense will depend on which borrowing is repaid and the final financing mix, so the difference between those rates is not a complete forecast of earnings.
Prospect describes the offering as neutral to leverage, meaning it is intended to replace borrowing rather than increase the overall debt burden. That addresses funding needs, but it does not by itself improve the income left for common shareholders after financing costs and payments with priority over the common dividend.
Our view is that securing longer funding is constructive, while the higher cost makes the earnings test tougher. The next useful evidence is a completed refinancing followed by investment income that can absorb the interest bill. Until then, this is progress on funding access with a clear cost to earning power.
