FINS Lowers Trustee-Removal Vote Threshold

Angel Oak Financial Strategies Income Term Trust (NYSE: FINS) disclosed on September 30, 2026, that shareholders approved a lower threshold for removing a trustee for cause.

The amendment reduces the required shareholder vote from 75% to 66.67%. It also lowers the threshold for the board to remove a trustee for cause from 75% to 66.67%. The change was approved at the fund’s September 25 annual meeting.

The filing reports 26,144,815 votes for the amendment, 1,309,741 against, and 93,953 withheld. Across the meeting, 92.15% of eligible common and preferred shares were represented. Shareholders also elected three trustees and ratified the fund’s auditor.

For shareholders, the amendment modestly increases accountability because removing a trustee for cause now requires a smaller supermajority. The threshold remains high, applies only when cause exists under the declaration of trust, and does not remove any trustee or change the fund’s investment strategy.

The governance change does not alter FINS’s earnings, net asset value, or distribution capacity. Its practical importance will depend on whether a future dispute meets the fund’s definition of cause and attracts support from two-thirds of the required voting power.
