abrdn Global Infrastructure Income Fund set the terms of a transferable rights offering on September 11, 2026, allowing shareholders to subscribe for new common shares.
Offering terms
Shareholders of record on September 21 will receive one right for each share held. Three rights permit the purchase of one new share, and fully participating holders may request additional shares through an over-subscription privilege. The offer is expected to expire October 15.
The subscription price will be 92.5% of the average closing market price over the five trading days ending on the expiration date. It cannot be lower than 92.5% of NAV on that date. The final price is therefore not yet known.
Why it matters
If fully subscribed, the basic offer could increase shares outstanding by roughly one-third. ASGI says the proceeds would support listed and private infrastructure investments while reducing the need to sell existing holdings. A larger asset base may also spread fixed expenses, but shareholders who neither exercise nor sell their rights can experience dilution. Shareholders indirectly bear the offering costs.
The earnings and distribution effect will depend on the final subscription price, participation, expenses and how quickly the new capital is deployed. New shares will not receive the September 30 distribution, and some may also miss the October distribution depending on issuance timing.
